Johnson & Johnson to acquire Synthes

28 April 2011: Johnson & Johnson (J&J), a global healthcare products manufacturer, is likely to acquire global manufacturer of orthopaedic devices Synthes Inc for $21.3 billion (approx Rs 9,372 crore) in a cash and stock deal.

Both the companies have entered into a definitive agreement whereby J&J will acquire Synthes for CHF 159 per share or $21.3 billion. The transaction is expected to close during the first half of 2012. The transaction is subject to clearance under the Hart-Scott-Rodino Antitrust Improvements Act, approval by the European Commission and regulatory approval in certain other jurisdictions, as well as other customary closing conditions.
