Adani Power, led by Gautam Adani, has announced the acquisition of DB Power (DBPL) in an all-cash deal valued at approx. Rs 7,017 crore. The agreement was formalised on 02 May, 2025, with the initial term of the memorandum of understanding set until 31 October, 2022, subject to extension by mutual consent.

DB Power operates two thermal power units of 600 MW each, located in the Janjgir-Champa district of Chhattisgarh. The acquisition will help the company to expand its offerings and operations in the thermal power sector in Chhattisgarh. The transaction is contingent on regulatory approvals, including clearance from the Competition Commission of India, and other consents that may be deemed necessary following due diligence on both DPPL and DB Power.

Diligent Power (DPPL), the holding company of DB Power, will be fully owned by Adani Power upon completion of the deal. In turn, DPPL will hold 100 percent of DB Power at the closing date, giving Adani Power complete control over DB Power’s operations.

DB Power, incorporated on October 12, 2006, under the jurisdiction of the Registrar of Companies in Gwalior, has established itself as a profitable player in the power sector. The company has secured long and medium-term PPAs covering 923.5 MW of its capacity. These agreements are supported by Fuel Supply Agreements with Coal India, ensuring a stable fuel supply for the power generation units.
